Identity verification Terms and conditions (Business customers)

These Terms and Conditions ("Terms") govern the use of Annature’s identity verification services ("Services") by business customers ("Customer", "you") and form a binding agreement between the Customer and Annature Pty Ltd ACN 642 595 015 ("Annature", "we", "our"). By accessing or using the Services, you agree to these Terms.

Purpose and scope

These Terms apply to any business or individual that uses Annature’s identity verification services to collect, validate, and assess personal identification data of individuals ("End Users"). The Services are designed to support lawful identity verification workflows and must only be used in accordance with applicable laws and for legitimate business purposes.

Authorised use

You agree to use the Services solely for genuine identity verification of individuals who have provided informed consent. You are responsible for ensuring that End Users are aware of the purpose for which their personal data is collected and have been given access to relevant privacy disclosures.

You must use the Services in good faith, and only where you have a lawful basis to process the End User’s identity information. All verification requests must be legitimate and not used to impersonate, target, deceive, or collect data under false pretences.

Prohibited conduct

Use of the Services for phishing, scamming, impersonation, harassment, social engineering, or any other form of malicious or unethical behaviour is strictly prohibited. You must not submit fake or misleading verification requests, nor may you attempt to test, probe, or manipulate the platform’s verification outcomes or defences.

Annature uses machine learning and fraud detection tools to monitor usage patterns. Accounts engaging in abusive or suspicious activity may be restricted, suspended, or terminated without notice. Where required, we may report such activity to regulators or law enforcement.

You may not use the Services to develop or train competing products or offer them to third parties in breach of confidentiality. If you are a direct or indirect competitor of Annature, you are expressly forbidden from using or accessing the Services.

Customer obligations

You are responsible for:

  • Ensuring that all use of the Services complies with applicable data protection and privacy laws
  • Verifying the identity and authority of any person accessing the platform on your behalf
  • Immediately notifying Annature of any unauthorised access, breach, or misuse of the Services
  • Keeping all credentials, integrations, and API keys secure

You must not resell or sub-license the Services to others unless expressly authorised in writing by Annature.

Data handling and privacy

You must ensure that all data collected via the Services is:

  • Collected lawfully and with the End User’s consent
  • Used only for the purpose for which it was collected
  • Not stored, reused, or shared beyond what is necessary for the verification process

Annature acts as a data processor for identity verification data and will handle all Collected Information in accordance with its Privacy policy, the Privacy Act 1988 (Cth), and applicable privacy regulations. Customers are considered data controllers and must comply with their own legal obligations.

Termination and suspension

Annature may suspend or terminate your access to the Services at any time if:

  • You breach these Terms
  • You engage in conduct that risks the integrity, security, or legality of the Services
  • You use the Services for unauthorised or harmful purposes

We reserve the right to disable access without prior notice in circumstances involving suspected abuse, fraud, or risk to End Users.

Intellectual property

All intellectual property in the Services, platform, and associated technology remains the exclusive property of Annature. You are granted a limited, revocable, non-exclusive licence to access and use the Services for authorised verification purposes.

You must not copy, decompile, reverse engineer, or modify the Services or use them to create competing technologies.

Warranties and disclaimers

We provide the Services on an "as-is" basis and make no guarantees regarding verification outcomes, completeness of data, or suitability for a particular purpose. You use the Services at your own risk and remain solely responsible for any decisions made based on verification results.

Limitation of liability

To the maximum extent permitted by law, Annature excludes liability for any indirect, special, incidental, or consequential losses, including lost profits or reputational damage. Our total liability under these Terms will be limited to the amount paid by you for the Services in the 3 months preceding the event giving rise to the claim.

Indemnity

You agree to indemnify and hold harmless Annature, its officers, employees, and subcontractors from any claims, damages, or losses arising out of your use of the Services, breach of these Terms, or violation of any applicable laws.

Governing law and jurisdiction

These Terms are governed by the laws of Queensland, Australia. Any dispute must be submitted to the exclusive jurisdiction of the courts of Queensland.

Changes to terms

Annature may update these Terms by giving at least 14 days’ notice. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

Definitions

  • Collected Information: Personal data or documents submitted for verification (e.g. licences, passports, TFNs)
  • Customer: The business entity using Annature’s identity verification Services
  • End User: The individual whose identity is being verified
  • Services: The identity verification tools and processes provided by Annature
  • Platform: The digital infrastructure through which the Services are delivered
